By accessing or using InventorySync.io (the "Service"), operated by InventorySync.io ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
InventorySync.io is a multi-channel inventory synchronization software-as-a-service (SaaS) platform designed for e-commerce sellers. The Service automatically syncs inventory quantities across supported platforms, including Shopify, eBay, Etsy, and WooCommerce.

You may not share your account credentials with others, create multiple accounts to circumvent plan limits, or use the Service in a way that violates these Terms.
The Service is offered under the following subscription plans:
Annual billing is available at a discounted rate. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selected billing cycle) until you cancel.
Prices are subject to change. We will provide at least 30 days' notice before any price increase takes effect on your account. You are responsible for any applicable taxes.
Plan downgrades take effect at the end of the current billing period. You will retain access to your current plan's features until that time.
We offer a 14-day free trial of the Service. No credit card is required to start a free trial. During the trial period, you will have access to the Service's features as described on our pricing page.
At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access to the Service will be suspended, but your data will be retained for a reasonable period to allow you to reactivate your account.
You may cancel your subscription at any time from the Billing page within the Service. Upon cancellation:
We do not offer refunds for partial billing periods, upgrades, or unused portions of your subscription. In exceptional circumstances, refund requests may be considered at our sole discretion by contacting support@inventorysync.io.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
All rights, title, and interest in and to the Service, including but not limited to the InventorySync.io brand, logo, website design, application code, documentation, and all associated intellectual property, are and shall remain the exclusive property of InventorySync.io.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription period. Nothing in these Terms transfers any ownership of our intellectual property to you.
You retain full ownership of all data you provide to or generate through the Service, including your product listings, inventory quantities, and account information ("User Data").
By using the Service, you grant us a limited license to use, process, and transmit your User Data solely for the purpose of providing and improving the Service. We will not sell your data to third parties.
You are solely responsible for the accuracy, completeness, and legality of your User Data, including all product information, SKUs, and inventory quantities. Our collection and use of personal information is governed by our Privacy Policy.
Upon account termination, we will retain your data for a reasonable period after which it may be permanently deleted.
The Service integrates with third-party e-commerce platforms including Shopify, eBay, Etsy, and WooCommerce. Your use of these platforms is subject to their respective terms of service and policies.

To the maximum extent permitted by applicable law, InventorySync.io, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Service exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
You acknowledge that the Service synchronizes inventory data across multiple platforms in near-real-time, and that perfect, instantaneous synchronization is not technically possible. Minor delays, temporary discrepancies, and occasional sync failures are inherent to the nature of the Service. You agree to maintain appropriate safety stock and operational procedures to account for these limitations.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, either express or implied.
We expressly disclaim all warranties, including but not limited to:
We do not provide any uptime guarantee or service level agreement (SLA). While we strive to maintain high availability, we make no commitment regarding specific uptime percentages or response times.
You agree to indemnify, defend, and hold harmless InventorySync.io, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
We reserve the right to suspend or terminate your account and access to the Service, at our sole discretion and without prior notice, for any of the following reasons:
Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, provide you with access to export your data for a limited period following termination.
Sections 8, 9, 11, 12, 13, and 16 shall survive any termination or expiration of these Terms.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
Governing Law. These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
Dispute Resolution. In the event of any dispute arising out of or related to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the appropriate legal channels.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and InventorySync.io regarding your use of the Service and supersede all prior agreements and understandings.
Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right under these Terms shall not constitute a waiver of such right.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
